The client’s request was to create a legally robust corporate structure for a multi-jurisdictional holding company offering OTC investing, market making, lending, and advisory services. In order to do this, they needed to establish operating entities in St. Lucia and Costa Rica, develop a compliant contractual framework for institutional partners, and secure legal opinions on the regulatory status of their operations.
To achieve the client’s goals, we first designed the overall legal group structure, incorporated the new entities in St. Lucia and Costa Rica, and built the contractual frameworks needed for managing institutional counterparties and liquidity clients. Then, we delivered legal opinions on the company’s business activities, including, in particular, its lending activities (regulatory classification and compliance). Now, Victus Global successfully operates and scales their diverse crypto services across multiple international jurisdictions in full compliance.
